Plaintiff bank vice president and cashier sought review of decision in favor of defendant bank in action by plaintiff to recover for unpaid salary and for salary accrued during vacation periods. The court held that plaintiff, as vice president of bank, was not entitled to any salary in the absence of a governing statute, regulation, or contract to the approval of which his own vote as director was not essential. The court held plaintiff, as cashier, was not entitled to action for damages nor recovery of salary accruing after discharge. Contract with cashier of national banking association appointing a cashier for a definite period of time at a fixed salary was void and did not prevent his removal by the board of directors. Instead, the most that could be said was that board of directors ratified plaintiff's monthly salary. The court held there was no evidence to support plaintiff recovery of vacation pay. Instead, when plaintiff asked for vacation with pay he was discharged. However, the court held that if plaintiff could establish a valid contract which was breached by defendant, plaintiff's recovery would be limited to detriment proximately caused by the breach of contract.
